1. Acceptance of Terms

By accessing or using our website www.prnovo.com (the “Site”) or our services (collectively, the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any other guidelines, rules, or additional terms referenced herein.
2. Services Provided
Our Agency offers public relations, communications, and media management services, as described on our Site. The specific services to be provided will be outlined in a separate agreement or proposal ("Service Agreement") agreed upon between the Agency and the Client.
3. Use of the Site
You may use the Site solely for your own personal and business purposes in compliance with these Terms and any applicable law. Unauthorized use of the Site, including but not limited to unauthorized entry into our systems, misuse of passwords, or misuse of any information posted on the Site, is strictly prohibited.
4. Client Responsibilities
If you engage our Services, you agree to provide accurate, complete, and timely information necessary for the Agency to fulfill its obligations under the Service Agreement. You are responsible for obtaining any necessary rights or permissions for the use of any materials you provide to us.
5. Intellectual Property
All content, trademarks, service marks, logos, and other intellectual property displayed on the Site are the property of the respective owners. You are not permitted to use these without prior written consent from the IP Owner.
6. Payment Terms
Payment terms for our Services will be outlined in the Service Agreement. Unless otherwise agreed, payments are due upon receipt of the invoice. Late payments may incur additional fees as outlined in the Service Agreement.
7. Confidentiality
The Agency will maintain the confidentiality of any proprietary or confidential information that you provide, except as required by law or as part of the Services. Similarly, you agree to maintain the confidentiality of any proprietary information related to our business.
8. Termination
Either party may terminate the Service Agreement for cause, such as a breach of these Terms or the Service Agreement. Upon termination, the Client will be responsible for payment of all Services rendered up to the termination date.
9. Limitation of Liability
To the maximum extent permitted by law, the Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our Services.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Agency, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site or Services, or your violation of these Terms.
11. Changes to Terms
We may modify these Terms at any time, and such modifications shall be effective immediately upon posting the updated Terms on the Site. Your continued use of the Site or Services after any modifications indicates your acceptance of the modified Terms.
12. Governing Law
These Terms and any disputes arising out of or related to these Terms or the Services provided by the Agency shall be governed by and construed in accordance with the laws of State of Wyoming, USA without regard to its conflict of law principles.
